This Agency Law presentation will provide attendees with the knowledge and practical insight necessary to understand the legal issues that arise out of the agency relationship between licensees (brokers and salespersons) and their clients. Issues to be addressed will include how to determine when an agency relationship exists, the duties and obligations of a licensee representing a seller, landlord, buyer, or tenant, limited (or “dual”) agency, liability exposure for misrepresentations and nondisclosures, commission rights, listing agreement issues, and other issues. Following Mr. Ailes presentation on Agency Law, Joe Calderon will present an overview of significant legislation affecting the real estate and development community that has been recently passed by the Indiana General Assembly. Changes to Indiana’s eminent domain and redevelopment law will be a primary focus, together with new legislation in the planning and zoning and property taxation arenas.

When Environmental Problems Threaten the Deal (2 Elective CEU Credits)

Most commercial real estate transactions require some level of pre-closure environmental due diligence. Licensed real estate professionals representing both buyer and seller should be familiar with what environmental due diligence is and which due diligence options are available. If the transaction involves a contaminated property, environmental due diligence will help identify the concerns that should be quantified and addressed in the purchase agreement. If both buyer and seller lack a strategy to quantify and address environmental issues, the fate of the transaction is jeopardized. This workshop will: Provide an overview of environmental due diligence; Offer suggestions on how to structure a purchase agreement to address and minimize environmental liability; Discuss how to identify and quantify environmental liability; Describe some of the mechanisms and processes to achieve closure of a contaminated property.

Applicable similarities between the Code of Ethics and the Indiana Statutes and Regulations concerning Real Estate Brokers and Salespersons will be discussed, with emphasis on the situations where the Indiana law may impose a higher standard of conduct, and where the Code of Ethics imposes the highest standard of conduct.
